These terms ("Terms") govern your use of the Metriclune website and reporting service (the "Service") provided by Suyog Adhikari ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service for an organization, you confirm you may accept these Terms on its behalf.

1. Your account

Give accurate information and keep your password safe. You are responsible for activity in your account.
You must be at least 16 and able to form a binding contract.
Workspace owners decide who can access their workspace and are responsible for the people they invite.
Anyone with a report share link can view that report without signing in. You decide who receives a link, you are responsible for sharing it only with people allowed to see the data, and you can turn a link off at any time. The same applies to live dashboard links, which show a workspace's current numbers rather than a saved report.
Only upload logos and brand assets you have the right to use.

2. Free trial

New accounts get a 14-day free trial with the Pro plan's limits. No payment details are needed. When the trial ends, your data remains readable but syncing, new connections, new reports and invitations pause until you choose a plan.

3. Subscriptions and payment

Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until cancelled.
Prices are shown on our pricing page and exclude taxes, which are added where required.
You can upgrade, downgrade or cancel at any time from the billing portal. Changes are prorated by Stripe. If you cancel, your plan stays active until the end of the current period.
Fees already paid are non-refundable except where the law requires otherwise or we decide to issue a refund.
If a payment fails, we and Stripe will retry. If it still fails, the workspaces on that plan pause as described in section 2.
We may change prices with at least 30 days' notice by email. Changes apply from your next renewal.

4. Your data

You own the data you bring to the Service, including data from platforms you connect ("Customer Data"). You give us permission to host, process and display Customer Data only to provide the Service to you and your workspace members. Our Privacy policy explains how we handle personal information. You are responsible for having the rights and permissions needed to connect each account and to share reports with the people you send them to.

5. Third-party platforms

Connections to Google, YouTube, Meta, TikTok and other platforms are subject to those platforms' own terms. They can change or withdraw API access, metrics or permissions at any time, which may affect the Service. We are not responsible for third-party platforms or the accuracy of the data they provide. By connecting YouTube, you agree to the YouTube Terms of Service.

6. Acceptable use

Don't use the Service to:

break the law or the terms of a connected platform;
connect accounts you aren't authorized to access;
send spam or unwanted email through report delivery or invitations;
send personal data such as names or email addresses through the website outcomes API;
probe, overload or disrupt the Service, or try to access other customers' data;
copy, resell or reverse engineer the Service, except as the law allows.

We may suspend accounts that put the Service or other customers at risk. Where we can, we will tell you first.

7. Our service

We work hard to keep Metriclune available and accurate, and we may improve or change features over time. We will give reasonable notice before removing a major feature you pay for. We don't promise the Service will be uninterrupted or error-free, and planned maintenance may cause short interruptions.

8. Intellectual property

The Service, including its software, design and branding, belongs to us and our licensors. These Terms give you a limited right to use the Service during your subscription. Feedback you send us may be used to improve the Service without obligation to you.

9. Disclaimers

To the extent the law allows, the Service is provided "as is" without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. Reports summarize data supplied by third parties; review them before relying on them for important decisions.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. These limits don't apply where the law does not allow them.

11. Indemnity

You agree to defend and indemnify us against third-party claims arising from Customer Data you connect or share, or from your breach of these Terms.

12. Ending the agreement

You can delete your account at any time in Settings. We may end these Terms if you materially breach them and don't fix the breach within 14 days of notice, or immediately for serious misuse. After your account is deleted, we delete Customer Data as described in our Privacy policy.

13. Governing law

These Terms are governed by the laws of Ontario, Canada, and disputes will be resolved in its courts, unless the law of your country requires otherwise.

14. Changes to these Terms

We may update these Terms. If a change is material we will email account owners at least 14 days before it takes effect. Continuing to use the Service after that means you accept the new Terms.
